Terms of Service — PrimeSkills

These Terms of Service ("Terms") constitute a legally binding agreement between you and the operator of PrimeSkills ("we", "us", or "our") governing your access to and use of the PrimeSkills digital store and related services (collectively, the "Services"), accessible at primeskills.store.

1. Acceptance of Terms

By accessing, registering for, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Notice, Refund Policy, and Cookie Policy. If you do not agree to these Terms, you must not use our Services.

2. Eligibility

You must be at least 16 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of Services

PrimeSkills operates as a single-vendor digital store offering curated AI software tools, including agent configurations, skills, and workflow templates ("Products").

We work with independent creators who contribute original digital content. However, PrimeSkills is the sole seller of all Products. All transactions are conducted directly between the buyer and PrimeSkills. Contributors receive compensation based on agreed revenue-sharing terms, but they do not sell directly to customers.

4. User Accounts and Security

To access certain features, you must create an account. You are responsible for:

Providing accurate, current, and complete information during registration
Maintaining the confidentiality of your account credentials
All activities that occur under your account, whether authorized by you or not
Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Buyer Terms

When you purchase a Product on PrimeSkills:

You agree to pay the listed price plus any applicable taxes, which are calculated and collected by our payment processor, Paddle, as the Merchant of Record.
Upon successful payment, you receive a non-exclusive, non-transferable license to use the Product for your own internal business or personal purposes, subject to any additional license terms specified by the author.
You may not resell, redistribute, or sublicense the Product without the author's express written permission.
All sales of digital Products are governed by our Refund Policy.

6. Contributor Terms

To contribute Products to PrimeSkills, you must apply for and be approved as a verified contributor. As a contributor, you grant PrimeSkills the right to sell your original digital content under our brand. You agree to:

Only publish original Products or Products for which you have all necessary rights and licenses
Ensure all Product descriptions, screenshots, and claims are accurate and not misleading
Not upload Products containing malware, spyware, or any code designed to harm users
Provide reasonable support to buyers and respond to inquiries in a timely manner
Comply with all applicable laws, including export control and sanctions regulations
Grant PrimeSkills a non-exclusive license to sell, display, distribute, and promote your Products as part of our store

PrimeSkills reserves the right to remove any Product that violates these Terms or our quality standards, and to suspend or terminate author accounts for repeated violations.

7. Payments and Fees

All payments are processed by Paddle Payments Ltd., our designated Merchant of Record. Paddle is responsible for:

Collecting payment from buyers
Calculating and remitting applicable taxes (VAT, sales tax, etc.)
Managing payment disputes and chargebacks in accordance with card network rules
Issuing refunds as outlined in our Refund Policy

Authors receive a revenue share of each sale, minus platform fees and payment processing costs. Current rates are displayed in the author dashboard. Payouts are processed monthly once the minimum threshold is reached.

8. Intellectual Property

Authors retain all ownership and intellectual property rights to their Products. By publishing on PrimeSkills, authors grant us a limited license to use, display, and distribute the Products solely for the purpose of operating the marketplace.

The PrimeSkills name, logo, and all related branding elements are our exclusive property. You may not use them without our prior written consent.

9. Prohibited Conduct

You may not use our Services to:

Upload or distribute malicious software, viruses, or harmful code
Infringe on intellectual property rights, including copyrights, trademarks, and patents
Engage in fraudulent transactions, money laundering, or other financial crimes
Harvest user data or scrape the platform without authorization
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Use the platform for any illegal purpose or in violation of applicable laws
Circumvent or attempt to circumvent any security measures or access controls
Interfere with the proper functioning of the Services or impose an unreasonable load on our infrastructure

10. Content Moderation and Removal

We reserve the right, but do not have the obligation, to review, monitor, or remove any content that violates these Terms or that we deem inappropriate. We may also suspend or terminate user accounts for repeated or egregious violations.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE QUALITY, ACCURACY, OR RELIABILITY OF ANY PRODUCTS SOLD THROUGH THE PLATFORM.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMESKILLS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless PrimeSkills and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Products, or your violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the operator of PrimeSkills resides, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the parties agree to submit to the exclusive jurisdiction of the courts in that jurisdiction.

15. Termination

You may terminate your account at any time by contacting support. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your license to use the Services ceases immediately, but provisions relating to intellectual property, indemnification, and limitation of liability shall survive.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
